航次傭船契約的慣用語

航次傭船契約有些慣用語,必須充分理解,然後看「格式」(Form),才能一目了然,不會產生誤會,例如前面所提「Reachable on arrival」是指傭船人在裝卸貨物港口準備可資停靠的「船席」(berth),一旦船舶「抵達時即可停靠」之意,如果英文寫得較完整的句子,寫成「berth reachable on her arrival」,則略懂英文的人,一見即知。熟知英文的人,一見「Reachable on arrival」亦必然了解。

這在油輪航次傭船契約,觸目可見類此截頭去尾的句子,在乾貨物偶或也能見到,其目的端在保護船舶所有人,使船舶一旦抵達港口,即有船席可以停靠、發送裝卸貨物準備完成通知書,作為計算裝卸貨物起算點,來決定傭船人是否延滯。不過,如果傭船人不知其詳,常常會受愚。但不經一事,不長一智,現代航次傭船契約格式,大多已用較完整的慣用句了。

例如代碼「Asbatankvoy」第9條「安全的停靠船席」(Safe Berthing),即規定:「該輪抵達傭船人指定、安排可停靠之一切安全的地點或碼頭,或船舶或駁船接靠船舷時,進行裝載或卸載,……(The Vessel shall load and discharge at any safe place or wharf, or alongside vessels or lighters “reachable on her arrival”, which shall be designated and procured by the Charterer,……)。」

但「抵達時即可停靠」(Reachable on arrival)一詞,應作何解,是歷經The Angelos Lusis(註1)、The President Brand(註2)、The Delian Spirit(註3)等案的錘鍊,到了Nereide S.P.A Di Navigazione v. Bulk Oil International Ltd.一案(註4),上議院Roskill勛爵始一鎚定調:「抵達時即可停靠,是眾所周知的慣用語,其義精確的解釋是,如果船席不是船舶抵達時即可停靠,則這擔保已被破壞,除非這些事屬於相關保護的免責事由,且該一船席需具有2個特性:它必須是安全,並且也必抵達時即可停靠(“reachable on arrival” was a well-known phrase and meant precisely what it said: if a berth could not be reached on arrival the warranty was broken unless there was some relevant protecting exception clause and the berth was required to have two characteristics: it had to be safe and it also had to be reachable on arrival)」等語。

與裝卸期間有關的,是什麼是「工作天」(working day,WD),什麼是「例外的工作天」(working days expected)?一般而言,如果航次傭船契約沒有特約約定,「星期天及例假日都要排除」(Sundays and holidays excepted)於工作天之外的。亦即不管裝卸工作是否要進行,在計算裝卸期間時,都應予除外。不過契約內如果訂明「除非有去使用」(unless used)或作更詳細的規定,那就不能排除了。諸如訂明「星期六中午至星期一早上8時,不計入裝卸時間」(Saturday noon till Monday 8 a.m. not to count as laytime),那只要按照契約去履行了。如果在此句之後,又加上「除非有去使用」,其情形自屬有異。這在某些國家是被承認的。

一言以蔽之,工作天是指各港口正常得用以裝卸貨物的日子,故不含星期天及固定的例假日。每一工作天,船舶應被標準費率進行裝卸的時數,按照港口習慣,或應於航次傭船契約中予以特別約定(A working day is a day on which work is normally done at the port concerned, consequently excluding Sundays and holidays officially recognized as such……The number of hours in a working day on which a ship must load or discharge at standard rates of pay must be settled by the custom of the port, or special agreement in the charter-party)(註5)。

事實上,「『工作天』一詞,在許多國家,未必是意指8個小時的工作天。如果傭船契約中載明『按每天1,200噸的速度裝貨』,此即隱含有平均每天應裝貨1,200噸,與實際工作時數,並無關連(it may be stated that in most countries, the term “working day” does not necessarily mean a working day of 8 hours. If a charter party stipulates: “Loading at the rate of 1,200 tons per day” this implies that on an average, 1,200 tons will have to be loaded daily, regardless of the actual number of working hours)」(註6)。

再者,「如果於星期一開始裝貨,而傭船契約中規定星期一應自上午8時起算『除非有去工作』,則當天應計算為16/24天。至於在其他工作天,可能不在上午8時以前從事裝貨工作,便不會有此問題發生(If loading operations take place on Monday and the charter party stipulates that on Mondays time will count from 8 A.M. (without the addition “unless used”), this day will count as 16/24 of a layday. The fact that on other working days, loading operation may not be started before 8 A.M., can be disregarded)」(註7)。

此外,尚有24小時工作天(working day of 24 hours),如果正常工作從上午8時至下午8時,則24小時工作天即等於2個正常工作天。如航次傭船契約訂明「每24小時連續工作天」(per working day of 24 consecution hours),意指不論日夜,實際連續24小時,始為1工作天。即使這24小時,依每工作天8小時,需3日的工作亦復如此(註8)。煤炭工作日(colliery working days),指煤炭正常工作情況下,星期天及例假日除外,非港口例假日所有之日期,包括那些煤炭經常應行工作,因罷工未工作的日數(註9)。晴天工作日(weather working days),指非因為天氣不能工作的時間,因此,儘管星期六天氣良好,但例假半日,仍被計算一整天的晴天工作日。但如果一天之中,部分為晴天,部分為壞天氣,則應依其比例計算。

Harvey Williams為所謂比例分配舉例稱:例如「12小時的作業日,如因其中下4小時的雨,以致裝卸中斷,則其裝卸期間,應將12小時一天的工作天中,一日的1/3不予以記入(An apportionment (or pro-rating) of the day is to be made where part of the normal working time in the day is taken up by bad weather. Thus four hours’ wet weather stoppage in a 12-hour working day excludes one-third of a day from the laytime calculation)」(註10),亦即應扣掉4小時。其義甚明,不言可知。換言之,「工作日」,其所著重為「工作」(working),應優於「日」(day)而適用。

然如航次傭船契約內加上「天氣允許」(weather permitting)字樣的慣用語,則不能與上述所稱「晴天工作日」(weather working days)作相同的解釋,此須依作業日或工作天的特質加以說明,不能按工作的比例來分配了,譬如一整天12小時下雨,則計算該日,就應以半日份,即12小時來計算了(註11)。其之所以有如此區別,乃「晴天工作天」一詞,一直被認係「描述性」(descriptive)的用語,設非為所描述的天氣,自無須予以扣減,而「天氣允許」,則一向被認為是「除外性」(exceptive)的用語,如天氣確實不允許工作,才可扣除。

綜上各種慣用語可知,「連續工作天」,應扣除星期天及例假日。但回教國家的港口,星期五等同星期天,應予扣除,星期天則不予扣除。至於星期六,有些國家認為是例假日,有些國家則不然,如果要不計入裝卸期間,以附加條款,最為穩妥。天氣允許,實際上是指如果為裝卸工作所允許,自然應計入裝卸期間,如屬壞天氣,自為裝卸工作所不許,自應予扣除。但目前油輪裝卸油類,除非碰到非常惡劣天氣外,絕大部分都以接舷吸入或吸出,則不受一般下雨天所影響,則不算天氣允許與否的問題。

當然,這些都是指一般的情形,如有特殊的港口習慣,作不同的區處,則應以裝卸港口的習慣為主,否則一旦訴訟,恐怕就要嚐敗績了。
